3. Client Responsibilities

As a Client, you agree to:

  • Ensure that all materials you submit (including logos, content, and any other media) are legally owned or licensed to you.
  • Collaborate with us in a timely manner and provide feedback as required.
  • Not use our services to engage in illegal or unethical practices, including, but not limited to, spamming, phishing, or the dissemination of harmful content.


4. Payment Terms

  • Fees: The fees for our services will be outlined in a separate agreement or proposal. Payment terms, including the frequency of billing and payment methods, will be specified.
  • Late Payments: Payments not received within the agreed-upon timeframe may result in a suspension of services until payment is made. We reserve the right to charge interest on overdue amounts.
  • Refund Policy: We strive to ensure Client satisfaction. However, due to the nature of digital marketing services, we do not offer refunds unless otherwise agreed upon in writing. Refunds will be assessed on a case-by-case basis.


5. Confidentiality

We understand the importance of confidentiality in business relationships. We agree to maintain the confidentiality of any non-public information shared by you as part of our services. We will not disclose any confidential information to third parties without your prior written consent, except as required by law.


6. Intellectual Property

  • Client Materials: You retain ownership of all intellectual property rights to materials you provide, including logos, trademarks, content, and any other media.
  • Agency Materials: We retain ownership of all intellectual property rights to materials, content, strategies, and other assets developed as part of our services, unless otherwise agreed upon.
  • Licensing: Upon full payment for services, we grant you a limited, non-exclusive license to use the deliverables produced for your business purposes. This license does not grant ownership of any intellectual property.


7. Limitation of Liability

  • Hendrik Agency's liability is limited to the amount you have paid for the specific service that gave rise to the claim.
  • We are not liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services, including loss of data, profits, or business opportunities.


8. Indemnity

You agree to indemnify, defend, and hold harmless Hendrik Agency, its affiliates, employees, and agents from any and all claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use of the Website and services.
  • Any breach of these Terms by you.
  • Any infringement of intellectual property rights, defamation, or unlawful conduct related to materials you provide.


9. Termination

Either party may terminate the agreement upon written notice if there is a material breach of these Terms that is not cured within thirty (30) days of notice. Upon termination, you will remain liable for any outstanding payments for services rendered up to the date of termination.

We also reserve the right to suspend or terminate access to our Website and services if we determine, in our sole discretion, that you are in violation of these Terms.


10. Governing Law and Dispute Resolution

These Terms will be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.

Any disputes arising out of or in connection with these Terms will be resolved through mediation in Cambridge, Ontario, Canada. If mediation fails, the dispute will be settled through binding arbitration in accordance with the rules of the Canadian Arbitration Association.
